These Website Terms of Use ("Terms") govern access to and use of the public website operated by MP Technology ("MP Technology," "we," "our," or "us"), including its pages, content, forms, and publicly available resources (the "Site").
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Website Purpose
The Site provides general information about MP Technology, its experience, service model, industries, and ways to make contact. Website content is informational and does not constitute a binding offer, guarantee of availability, service-level commitment, or advice tailored to your organization.
Use of the Site, submission of an inquiry, or participation in an introductory discussion does not create a client, consultant, advisory, fiduciary, or professional-services relationship. Services are provided only under a separately executed agreement, statement of work, proposal, quote, or other written authorization.
2. Permitted Use
You may use the Site for lawful business and informational purposes. You may not:
- use the Site for unlawful, fraudulent, abusive, or misleading activity;
- interfere with the availability, integrity, or security of the Site;
- attempt to gain unauthorized access to systems, accounts, or data;
- probe, scan, or test for vulnerabilities except under express written authorization or the published vulnerability-reporting guidance;
- introduce malware or harmful code;
- impersonate another person or organization;
- use automated extraction tools in a manner that burdens the Site or exceeds ordinary search-engine indexing; or
- copy, republish, modify, distribute, or commercially exploit Site content without permission, except as allowed by law.
3. Intellectual Property
The Site and its content, including text, design, graphics, branding, logos, icons, and software elements, are owned by MP Technology or its licensors and are protected by applicable intellectual-property laws. No ownership right is transferred by your use of the Site. Third-party names and marks remain the property of their respective owners.
4. Inquiries and User Submissions
Information submitted through the Site must be accurate and lawful. Do not submit passwords, authentication secrets, protected health information, payment-card information, export-controlled information, or other regulated or highly sensitive data unless MP Technology has specifically requested it through an appropriate protected method.
Submitting information does not require MP Technology to accept an engagement, provide a response within a particular period, preserve unsolicited materials as confidential, or take any action beyond obligations imposed by law or a separate written agreement. Personal information is handled in accordance with the Privacy Policy.
5. Representative Experience and Service Information
The Site may describe representative professional experience, technical scenarios, service capabilities, methodologies, or potential engagement outcomes. Unless expressly identified otherwise, representative experience is not presented as an MP Technology client portfolio, testimonial, or guarantee that the same result will apply in another environment.
Actual scope, deliverables, assumptions, dependencies, schedules, fees, acceptance criteria, warranties, security obligations, remedies, and responsibilities are established only in the governing written agreement for the engagement.
6. No Professional or Compliance Advice
Public website content does not constitute legal, financial, insurance, regulatory, compliance, or organization-specific cybersecurity advice. Technology recommendations depend on the facts, systems, constraints, and risks of the particular environment. You are responsible for obtaining appropriate professional advice and validating decisions before implementation.
7. Third-Party Sites, Products, and Services
The Site may link to or reference third-party websites, software, hardware, platforms, and services. Those resources are provided for convenience or identification. MP Technology does not control and is not responsible for their content, availability, security, privacy practices, licensing, performance, or terms. A reference does not constitute a warranty or endorsement unless expressly stated.
8. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." MP TECHNOLOGY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES RELATING TO THE SITE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION.
No website or electronic system can be guaranteed to be completely secure, continuously available, or free of harmful components.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MP TECHNOLOGY AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SITE OR RELIANCE ON ITS CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MP TECHNOLOGY'S TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). These limitations apply only to the Site and do not replace liability terms contained in an executed client agreement.
10. Site Changes and Availability
We may modify, suspend, restrict, or discontinue any part of the Site at any time. We may also restrict access where reasonably necessary to protect the Site, our business, users, or third parties.
11. Changes to These Terms
We may update these Terms from time to time. Revised Terms become effective when posted unless otherwise stated. The current revision date is displayed on this page.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes arising from the Site or these Terms will be brought in the state or federal courts located in or serving Medina County, Ohio.
13. Severability and Entire Agreement
If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. These Terms and the Privacy Policy constitute the agreement governing use of the public Site. They do not govern client services performed under a separate written agreement.
